What are the bunch of risks to the business? And whats the probablity of risk being played in real ?

Hi everyone…I have been tracking this company for quite a while. Two things I’ve noticed, for which I would like clarification and understanding from this esteemed group…

  1. Frequent disposal of shares by trusts… This happens almost every month… Haven’t seen this with other companies that I track…What does this usually signify?
  2. Frequent ESOP’s… While good for company and employee morale and income, how well does it bode for other shareholders?

My two cents on this

  1. If you are referring to the trust that hold the majority of the promoter holding I believe since 2023 there has been equity selling among the employees/ top management who perhaps wanted to exit with more cash. I am purely making an educated guess that the trust held shares on behalf of the employees including the top management. After certain vesting period timeline some of them probably cashed out.
  2. Well this is typical of any start up company so no surprises there .

Can anyone share the total shareholding pattern of Affle Holdings Pte Ltd and Affle Global Pte Ltd? I want to know how much stake Mr. Anuj Khanna Sohum holds in both these companies?

If the bots are in play in coming time with Generative/Cognitive AI, Affle being in CPCU model how will it mitigate growth risk, even though they have IP and doing development on so.

Can anyone tell why the receivables are negative?

This is not receivable figure, this is change in receivables during the year

Why is it negative, whats the meaning of this ?

An increase in receivables leads to a negative figure in working capital changes as part of the OCF calculation. A decrease leads to a positive figure

I tried contacting Affle India on their contact us page but its not going through the submit button. I mailed them but they didnt reply yet. If i want to do advertising for my company through them how should i contact them?

After analyzing Affle, I’ve observed a few concerns regarding its business model and financial strategy that I’d like to share for discussion.

It appears that the company is primarily growing inorganically—consistently acquiring other businesses, funded by equity dilution. While profits are being reported positively, a significant portion of the cash flow is moving toward the goodwill section of the balance sheet, which eventually gets amortized. Additionally, the proceeds from these equity dilutions are retained on the balance sheet, seemingly to fund further acquisitions.

This pattern raises a red flag. If the company is experiencing such strong profit growth, one would typically consider leveraging debt instead of diluting promoter holdings. The continuous stake reduction by promoters could suggest an attempt to inflate the share price and gradually exit their holdings.

Moreover, Affle has had multiple litigations in the past, as disclosed in their IPO document. While not all may be material, the history is worth noting. I also tried contacting the company for a business inquiry (advertisement-related), but there has been no response so far—this adds to my concern regarding transparency and responsiveness.

I’d like to invite views from others in the community—both in support of and against these observations—so we can develop a more balanced and informed understanding of the company.

Please also tell me the quality of patents of Affle because i read some reviews on Glassdoor where their employees said patents are not strong enough.
