• Revenue — FY2025–26: Approximately ₹1,098.3 crores.
• Net Profit: Net loss of approximately ₹184.2 crores in FY2025–26.
• ROE: Approximately −51.5% for FY2025–26, as reported by Stock Analysis. Providers use different equity bases; Screener reports −36.2%, so these figures should not be mixed.
• Debt-to-Equity: Approximately 0.06 times at March 2026, using the data provider’s debt classification. This predates subsequent financing and IPO changes.
• Revenue Growth — 3-year CAGR: Approximately 37.8%, from reported FY2022–23 revenue of ₹419.9 crores to FY2025–26 revenue of ₹1,098.3 crores. Historical comparability is affected by the May 2024 acquisition of the insurance broking subsidiary; this is not a measure of purely organic growth.

Business Overview

• What they do: Connect insurance companies, advisors and customers through a technology-enabled distribution platform.
• Key Products/Services: Motor, health and life insurance distribution; Turtlemint Pro advisor tools; Turtlemint Academy training; Turtlefin enterprise technology and OneAPI embedded insurance solutions.
• Market Position: A leading digital insurance distributor. Its IPO disclosures describe the largest certified PoSP network among its defined peer group as of December 2025. Competitors include PB Fintech/Policybazaar and InsuranceDekho.
• Key Customers: Retail policyholders served through advisors, alongside enterprise distribution clients. The company reported relationships with 45 insurers in December 2025; insurers are commercial partners and should not automatically be described as customers.

Management Quality

• Promoter Background: Dhirendra Mahyavanshi has experience at ICICI Lombard and Quikr and holds a management qualification from IIM Calcutta. Anand Prabhudesai previously worked at Yahoo, Nokia and Quikr; he studied at IIT Bombay and the University of Chicago.
• Promoter Holding: 13.21% as of June 2026.
• Key Management: Dhirendra Mahyavanshi — Chairperson, MD and CEO; Anand Prabhudesai — Executive Director and COO; Badrinarayan Sanjeevi — CFO; Prajakta Deolasee — CTO.
• Assessment: Relevant insurance and technology experience is a strength. Sustained profitability and capital allocation remain key tests of execution.

Investment Thesis

Positives:

• Extensive advisor distribution network with substantial reach beyond major cities.
• Renewal commissions create opportunities for repeat revenue.
• Higher advisor productivity and renewal volumes could improve operating margins.
• Enterprise insurance technology offers an additional expansion opportunity.

Concerns:

• Continuing annual losses and negative operating cash flow.
• Significant spending to recruit, retain and support advisors.
• Dependence on general insurance and major insurer relationships.
• Strong competition may constrain commissions and delay profitability.

These are analytical assessments based on the IPO business and risk disclosures.

Valuation

• P/E Ratio: Not meaningful because earnings are negative.
• P/B Ratio: Not reliably verified on a post-IPO basis. A current calculation requires the latest consolidated net worth and corresponding share count.
• EV/EBITDA: Not meaningful as a conventional positive earnings multiple while EBITDA remains negative.
• Compared to Peers: PB Fintech is the principal listed comparator identified in the offer documents. Compare revenue multiples, renewal income, margins and cash consumption, allowing for differences in business mix. Turtlemint’s market-cap-to-FY26-revenue ratio is approximately 2.9 times; this alone does not establish that it is cheap.

Growth Catalysts

• Increasing insurance adoption in smaller cities through its advisor network.
• A larger renewal book and greater sales per active advisor.
• Product and technology investment funded by IPO proceeds, subject to effective execution. The stated uses include technology staff, infrastructure, marketing and subsidiary working capital.

Red Flags to Watch

• Persistent cash consumption, additional borrowing or equity dilution.
• Growth in registered advisors without corresponding growth in active advisors and revenue.
• Tax-related contingent liabilities of approximately ₹57.42 crores at December 2025.
• Historical IRDAI observations, advisories and a show-cause notice concerning the broking subsidiary. The IPO risk summary states that no monetary penalties were imposed in those matters; this is not a blanket regulatory clearance.
• Subsequent financing: exchange disclosures describe secured NCDs, so the March 2026 debt ratio should not be treated as the current position.
