Brigade Hotel Ventures Ltd

Business Overview:

  • Market Cap₹ 2,136 Cr (19-Sep-2026)
  • BHVL (Brigade Hotel Ventures Ltd) is the second-largest owner of chain-affiliated hotels and rooms in South India among major private hotel asset owners, operating 9 hotels comprising 1,604 keys across key growth hubs including Bengaluru, Chennai, Kochi, Mysuru, and GIFT City (Ahmedabad).
  • Its portfolio is anchored by long-term operator agreements with global hospitality giants including Marriott International, Accor, InterContinental Hotels Group (IHG), and Hyatt for brand recall, reservations, and loyalty channels.
  • Unlike pure hotel management operators, BHVL owns or long-term leases high-value real estate assets.
  • Parent / Promoter, Brigade Enterprises Ltd, holds 74.09% of total paid-up equity capital.

Evolution:

  • 2000: Brigade repurposed a residential building on Lavelle Road, Bengaluru, into serviced apartments, launching the ‘Brigade Homestead’ brand in response to real estate headwinds.
  • 2009: Formally entered hotel ownership with the opening of Grand Mercure Bengaluru Koramangala (126 keys) in 2009.
  • 2011: Launched Sheraton Grand Bangalore at Brigade Gateway (230 keys) as part of an integrated lifestyle precinct (residential, office, Orion Mall, World Trade Center).
  • 2025: BHVL completed its IPO in July 2025 at an issue price of Rs. 90 per share, raising Rs. 885.6 Crore. Primary IPO proceeds of Rs. 468.1 Crore were directly deployed towards debt reduction.

Future Monitorable:

  • Doubling of Keys by FY31 (~3,300 total: Operating: 1,604 keys (9 Hotels) | Pipeline: 1,700 keys (9 Hotels)): Land is tied up either on long lease or acquired. Commissioning milestones for 9 upcoming properties with 1,700-Keys.
      • FY27 (Total 1649 Keys): Courtyard by Marriott WTC Chennai (45 keys)
      • FY28 (Total 2024 Keys): Fairfield Bengaluru Airport (224 keys), and Fairfield Brigade Valencia near electronic city (151 keys).
      • FY29 (Total 2605 Keys): Commissioning of 3 Luxury hotels - Grand Hyatt Chennai ECR (211 Keys), InterContinental Hyderabad Brigade Gateway (300 Keys | On top of the mall after 32nd floor at WTC Hyderabad), and The Ritz-Carlton, Vaikom Island Kerala (70 Keys).
      • FY30-FY31 (Total 3304 Keys): Commissioning of 3 hotels - JW Marriott Chennai OMR (Luxury) (250 Keys), Thiruvananthapuram Marriott Hotel World Trade Centre (Upper Upscale) (200 Keys), and Tumkur Road Hotel (Upscale) (249 Keys).
  • Doubling of ARR/ADR (Average Room Rent/Average Daily Rate | From INR 7,453 to INR 14,000) by FY31 as the upcoming hotels will take the Luxury and upper scale mix, which has better pricing power, to 38% from existing mix of 14%.
  • Management allocated Rs. 90 Crore from IPO proceeds toward inorganic Brownfield Acquisition which they hope to close in FY27.
  • Courtyard by Marriott WTC Chennai is expected to become operational by Q3FY27.

What’s different?

  • End-to-End In-House Development Capability: Unlike peers who rely on expensive acquisitions (high cost per key), BHVL leverages Brigade Group’s 40-year real estate legacy to acquire land, design, and construct large-scale hotels from scratch at below-market development costs.
  • Integrated Micro-Market Site Selection: BHVL pioneered key micro-markets by embedding hotels into larger mixed-use commercial and retail ecosystems (e.g., Brigade Gateway, WTC Chennai, Infopark Kochi, GIFT City), ensuring built-in corporate guest capture.
  • Marquee Operator Partnerships: Long-term agreements with Marriott, Accor, and IHG provide instant global distribution, high-yielding international corporate accounts, and access to massive global loyalty programs.
  • In BHVL’s core South Indian markets (Bengaluru, Chennai, Hyderabad), air passenger growth and corporate expansion (GCCs, IT/ITeS) are driving occupancy levels above 70-75%.

Management:

  • Mr. M.R. Jaishankar (Executive Chairman): Founder of Brigade Group with over 40 years of real estate and hospitality leadership. Spearheaded Brigade’s entry into hospitality in 2000.
  • Ms. Nirupa Shankar (Managing Director): Associated with Brigade Group since 2009 (16+ years). Holds a Master’s degree in Hospitality Management from Cornell University. Conceptualized award-winning F&B outlets (HIGH Ultra Lounge, Glass) and established Brigade REAP (Asia’s first real estate accelerator) and BuzzWorks.
  • Mr. Vineet Verma (Director): Over 30 years of hospitality experience. Joined Brigade in 2006 as CEO of Brigade Hospitality. MD of Aureya FM Services.
  • Mr. Ananda Natarajan (CFO): Chartered Accountant with Brigade Group since 2008 (18+ years). Oversees financial strategy, capital allocation, and compliance.
  • Mr. Manoj Agarwal (COO): Former VP of Asset Management at InterGlobe Hotels and Bridge Capital. Expert in hotel asset management and budgeting.
  • Mr. Arindam Mukherjee (President, Engineering): IIT Kharagpur graduate, with Brigade since 2009. Leads project design, budgeting, and construction delivery.
  • Independent Directors: Includes Nakul Anand (ex-ITC Director with 40+ yrs in hospitality), Bijou Kurien (ex-Reliance Retail, Titan, HUL), Jyoti Narang (ex-IHCL COO with 30+ yrs), and Anup Shah (legal luminary).

How are the numbers and where they are headed?

  • Balance sheet:
    • Majorly funded by shareholder’s equity after IPO as most of the debt was repaid in FY26. As of now, cash liquidity of ~100 Cr available after netting of the borrowings.
    • As of now, shareholders equity (Equity Capital & Reserves) is 958 Cr out of total liabilities of 1,382 Cr.
    • For the ongoing expansion, which culminates in FY31, management intends to spend another 3,200 Cr. The capex will be funded by internal accruals (40%) and debt (60%). Per my understanding from the Q4FY26 investor presentation, it will increase the shareholders equity by 880 Cr and borrowings by 2,200 Cr.
    • Hence, balance sheet of FY31 would have total liabilities of ~4800 Cr in the ratio: Equity Capital (8%), Reserves (30%), Borrowings (52%, Amounting ~2500 Cr.), and Other Liabilities (10%).
  • Cash Flows: Average (4 yrs, from FY2023 to 2026) operating cash flows of ~150 Cr. Maintenance capex is 20 Cr per annum as per one of the conference calls. Interest expense is ~40 Cr per annum basis latest Q1FY27 results. Hence, the business seems to be generating free cash flow to the equity of ~90 Cr.
  • Profit & Loss:
    • Revenue is growing in double digit and management expects it to keep growing at the rate of mid-teen: ADR increase, brand repositioning at selected properties, FTA (Foreign Tourist Arrival) improvement as and when middle-east war becomes history, and occupancy improvement from ~76% towards aspired 80%+.
    • Revenue sources are corporate travels, leisure travels, MICE (Meetings, Incentives, Conferences, and Exhibitions), and wedding. Domestic travellers to FTA (Foreign Tourist Arrival) ratio is 3:1.
    • Major contributors to the revenue are room rentals (~60%+) and F&B (Food and Beverages, ~33%).
    • Revenue segments: Corporate (30%) – Used to be a discounted static pricing, but now the discount is linked to dynamic prevailing pricing, group/crew (20%), and retail (50%, 60% of this comes from OTA and gives flexibility to improve ADR)
    • MICE (Meetings, Incentives, Conferences, and Exhibitions: 15~18% of the business and big contributor to the F&B, which can’t be replaced by alternative arrangements to earn the room rentals)
    • OPM % has gone down by ~2% in recent times. It’s majorly due to a GST rule change. Room nights that are charged up to INR 7,500 have a GST of 5%. Recently, ITC claim is disallowed for such room nights. Currently, 30% of room nights fall under this category. Management is actively working to push the room nights charge above the GST threshold, but it will happen gradually. With time, this aspect and premiumization of inventory (Luxury and upscale focused expansion) shall push the OPM % to the range of 38~40%.
    • By FY32, revenue from room rentals shall become 4x (2x Keys and 2x ARR), revenue from F&B shall become 5x as the ratio of room rentals to F&B for luxury and upscale hotels is 1:1, which is 2:1 for the business right now.
    • My forecast, which will be proven wrong by father time, is that revenue would be ~2300 Cr by FY 32: Room rental 1300 Cr, F&B 900 Cr, Other Operating Income 100 Cr and Operating profit would be ~850 Cr (38% OPM).

Risks and Concerns:

  • ~62% of operational revenue is derived from three hotels: Sheraton Grand Bangalore at Brigade Gateway (34.6%), Holiday Inn Chennai OMR (13.8%), and Holiday Inn Bengaluru Racecourse (13.6%).
  • High Employee Attrition: Permanent staff attrition reached 58.2% in FY25 and it was 48.16% in FY24.
  • Operational success relies on brand standards and global reservation networks of Marriott, Accor, and IHG. Termination or non-renewal of operator service agreements poses rebranding and revenue disruption risks.
  • Capital Intensive Pipeline (~Rs. 3,600 Cr Capex) and Execution Delays in Pipeline Hotels: Most of the birds are in the bush, if you find the valuation attractive.
  • Travel demand is seasonal (H2 is historically stronger than H1) and sensitive to macroeconomic downturns, corporate budget cuts, or travel disruptions.

Q&A to develop understanding about the hotel industry

  1. Why market values certain hotel companies at nearly 2x the multiple of others on an EV/EBITDA basis?

  • It’s driven by the business models:

  • Asset-Heavy Owner Model:

    • To open new rooms, the company commits large amounts of capital and time.
    • The company buys/leases land, constructs buildings, installs luxury interiors, and absorbs the ongoing maintenance costs.
    • As physical buildings require constant capital reinvestment and carry high fixed costs, every dollar of EBITDA earned from real estate requires heavy capital to sustain. Hence, the market values these earnings at lower multiples.
    • These businesses have two primary sources of revenue: room rental and F&B (food and beverages).
  • Asset-Light / Franchise Model:

    • As a brand owner, the company owns the brand identity, loyalty program, customer reservation system, and operational playbooks.
    • It licenses its brand name and provides management expertise to independent property owners in exchange for recurring franchise and management fees.
    • The brand owner collects a % of revenues with virtually zero incremental capital investment as and when it adds new property/rooms.
    • Such businesses are valued 2x compared to Asset-Heavy Owner Model.
    • These businesses have two primary sources of revenue: room rental, F&B, and Management Fees.
  1. How a hotel company can move up the value chain?

  • Asset Ownership Foundation: Establish large-format hotel assets in key growth markets through disciplined capital allocation and international brand tie-ups. This is where BHVL stands today.
  • Franchise Model Integration: Expand into hotel operating capabilities, franchisee management, and unit-level profit optimization.
  • Portfolio & Platform Capabilities: Build centralized capabilities across revenue management, sales, marketing, and customer engagement across key urban centres.
  • Brand Ownership (Hybrid Model): Leverage multi-years of operational knowledge to launch its own proprietary lifestyle brand, alongside direct customer outreach and distribution systems. This is top of the pecking order where global hospitality giants including Marriott International, Accor, InterContinental Hotels Group (IHG), and Hyatt and such businesses are valued at a premium.

A. Moving up the value chain leads to valuation multiple (EV/EBITDA) expansion.

  1. What’s the most important KPI to track for a hotel company?

  • For an investor, RevPAR (Revenue Per Available Room) is the ultimate macro-health diagnostic tool. It calculated as occupancy* ARR/ADR (Average Room Rent/Average Daily Rate.
  • ARR/ADR-Driven growth is preferred as more expensive rooms do not significantly increase variable costs (like laundry, housekeeping, or utilities).
  • In the long run, ADR/ARR is expected to be trending upwards as the portfolio starts trending towards the luxury end of the scale and inflation.

B. Increasing ADR/ARR and addition of room inventory leads to earnings expansion.

If you find a business in hotel industry that meets point A and B, it will be a good candidate to study deeper.

Great research Surender ji,

Looks interesting.

I’m interested to know your assessment on what would be number of shares in FY32 after raising funds through equity in this period?
